Terms of Service
Please read these Terms of Service (“Terms”) carefully before using the Lony platform (“Platform”). By creating an account, accessing, or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Platform.

2. Eligibility
To use the Platform, you must:
- Be at least 13 years of age (or the minimum age required in your jurisdiction);
- Have the legal capacity to enter into a binding agreement; and
- Not be prohibited from using the Platform under applicable law.
If you are under 18, you must have the consent of a parent or legal guardian. Institutional users are responsible for ensuring appropriate consent is obtained for minor learners in accordance with applicable laws, including COPPA in the United States and equivalent regulations internationally.
3. Account Registration and Security
3.1 Account Creation
To access the Platform, you must register for an account by providing accurate and complete information, including your name, email address, and role type (learner, creator, institutional administrator, etc.). You agree to keep this information current and accurate at all times.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify Lony immediately at [email protected] if you suspect unauthorized access to your account. Lony will not be liable for any loss resulting from unauthorized use of your account.
3.3 Account Types
Lony supports multiple account types, including learner accounts, creator accounts, institutional accounts, and ministry-level accounts. Additional terms may apply depending on your account type and applicable Deployment Agreement.
4. Platform Use and Acceptable Conduct
4.1 Permitted Use
You may use the Platform solely for lawful educational, professional development, and credentialing purposes in accordance with these Terms.
4.2 Prohibited Conduct
You agree not to:
- Use the Platform for any unlawful, fraudulent, or abusive purpose;
- Impersonate any person or entity or misrepresent your affiliation;
- Attempt to gain unauthorized access to any part of the Platform or its infrastructure;
- Upload or transmit viruses, malware, or any other harmful code;
- Circumvent, disable, or interfere with security features of the Platform;
- Scrape, copy, or reproduce Platform content without express written permission;
- Use AI systems or automated tools to interact with the Platform in an unauthorized manner; or
- Engage in any conduct that disrupts or interferes with other users’ experience.
4.3 API and Technical Misuse
Users with access to the Platform’s APIs, developer tools, or integration endpoints agree not to:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code, model weights, or underlying architecture of any Platform component, including AI systems and recommendation engines;
- Probe, scan, or test the vulnerability of any Platform system or network without Lony’s prior written authorization;
- Conduct load testing, stress testing, or automated high-volume requests against the Platform infrastructure without express written permission;
- Exploit or abuse AI Companion endpoints to extract training data, manipulate model outputs, or circumvent pedagogical controls; or
- Use API access to build competing products or services, or to replicate core Platform functionality, without a separate written agreement with Lony.
Violations of this section may result in immediate suspension of API access and termination of your account, without prejudice to any other remedies available to Lony.
5. Content and Intellectual Property
5.1 Lony Content
All Platform content, technology, software, AI systems, designs, trademarks, and proprietary materials are owned by Lony or its licensors and are protected by applicable intellectual property laws. No license to Lony’s intellectual property is granted beyond the limited right to use the Platform as set out in these Terms.
5.2 Creator Content
Creators who publish content on the Platform retain ownership of their original works. By publishing content on the Platform, creators grant Lony a non-exclusive, worldwide, royalty-free license to host, display, distribute, and sublicense such content to learners on the Platform. Creators are responsible for ensuring their content does not infringe third-party intellectual property rights, violate applicable laws, or contain harmful, misleading, or offensive material.
5.3 User-Generated Content
Any content you submit, upload, or transmit through the Platform (including posts, assessments, and peer interactions) must comply with these Terms. You grant Lony the right to use such content to operate and improve the Platform.
6. AI Systems and Learning Tools
The Platform incorporates AI Companion systems and personalized recommendation engines to support your learning journey. These systems are designed with transparency and explainability as core principles:
- AI decisions affecting your learning path and content delivery are logged and auditable;
- You may request explanations of AI-driven recommendations through Platform settings;
- Lony does not use AI to make legally consequential decisions about individuals without human oversight; and
- Institutions and ministries may configure AI behavioral policies through governance control surfaces.
AI systems are provided to enhance learning outcomes and do not replace professional, academic, or institutional judgment. Lony makes no guarantee that AI recommendations will meet any particular educational standard or outcome. AI systems operate within predefined pedagogical and policy constraints and do not autonomously modify platform governance rules, credential issuance policies, or user permission structures.
6.1 AI Content Accuracy and Limitations
The AI Companion and recommendation engines incorporate generative models that may occasionally produce inaccurate, incomplete, or contextually inappropriate information (a known limitation of such systems, commonly referred to in the field as “hallucinations”). While Lony strives for pedagogical accuracy and implements quality controls to minimize such occurrences, the AI systems are provided for supportive educational purposes only and do not constitute professional, academic, or institutional advice.
6.2 User Verification Responsibility
You are primarily responsible for independently verifying any information provided by the Platform before relying on it for high-stakes assessments, professional decisions, credentialing submissions, or institutional requirements. Lony shall not be liable for errors or omissions in AI-generated content, nor for decisions or actions taken in reliance thereon. Where the accuracy of information is critical, you should consult authoritative sources or qualified professionals.
7. Credentials, Blockchain Records, and Achievements
7.1 Issuance
Lony issues digital credentials, achievements, and Proof of Learning (PoL) / Proof of Knowledge (PoK) records anchored to a blockchain. These records are designed to be tamper-evident and verifiable by third parties.
7.2 Immutability
Blockchain records are immutable by design. In the event of a credential revocation, Lony will flag the credential on-chain, but the original issuance record cannot be deleted. You acknowledge and accept this technical characteristic.
7.3 Accuracy
You are responsible for ensuring that the information associated with your credentials is accurate at the time of issuance. Lony is not liable for credentials issued based on inaccurate information provided by you or your institution.
7.4 Irreversibility of Data Entry Errors
Due to the immutable nature of blockchain technology, cryptographic Proofs of Learning (PoL) and Proofs of Knowledge (PoK) cannot be deleted or altered once written to the ledger. Users and Institutions are responsible for the accuracy of all data submitted at the point of entry; Lony cannot modify permanent records resulting from inaccurate initial inputs. In circumstances where a record is materially erroneous, Lony may flag the credential as disputed on-chain and, upon verified request, de-identify your records by severing the link between your personal identity and your blockchain public key, as further described in the Privacy Policy.
8. Payments, Subscriptions, and Revenue Sharing
8.1 Fees
Certain features of the Platform may require payment of fees. All fees are stated in the applicable subscription plan or marketplace listing. Lony will provide at least 30 days’ advance notice of fee changes to existing subscribers.
8.2 Payment Processing
Payments are processed by authorized third-party payment processors. Lony does not store raw card data. You agree to the payment processor’s terms and conditions in addition to these Terms.
8.3 Creator Revenue Sharing
Creators on the Platform may be eligible for revenue sharing based on learner enrollment and engagement. Revenue share rates and payment schedules are governed by the Creator Agreement entered into at the time of creator account registration.
8.4 Refunds and Consumer Withdrawal Rights
Refund eligibility depends on the product or subscription type. Subscriptions cancelled within 7 days of the initial purchase date (or renewal date) may qualify for a pro-rated refund. Course purchases are non-refundable once more than 20% of the content has been accessed. Please contact [email protected] for assistance.
Consumers in the European Union and United Kingdom may have a statutory right to withdraw from a purchase within 14 days of the transaction date without giving any reason (the “cooling-off period”), in accordance with applicable consumer protection law. This right to withdraw does not apply where: (a) you have explicitly requested and begun accessing digital content during the cooling-off period and acknowledged that doing so waives your withdrawal right; or (b) the purchase is for a fully customized or institutional service. Where the withdrawal right applies, we will process your refund within 14 days of receiving your withdrawal request.
8.5 Platform Tokens and Rewards — Not Financial Instruments
The Platform may issue LonyTokens or equivalent reward units as part of its learning incentive and achievement system. You acknowledge and agree that:
- LonyTokens are not currency, legal tender, securities, financial instruments, or investment contracts of any kind;
- LonyTokens have no guaranteed monetary value and are not redeemable for cash except where expressly stated in a specific promotional offer;
- LonyTokens are issued solely as a recognition and incentive mechanism within the Platform and do not represent any ownership interest in Lony or its assets;
- Lony does not represent that LonyTokens will retain any value, and their availability and utility may change or be discontinued at any time with reasonable notice; and
- LonyTokens are non-transferable outside the Platform except where expressly enabled by Lony.
Nothing in these Terms or the Platform constitutes an offer or solicitation to buy or sell any security or financial instrument in any jurisdiction. Users are responsible for understanding the regulatory status of digital tokens in their jurisdiction.
9. Institutional and Ministry Deployments
Institutional and ministry customers are subject to separate Deployment Agreements, which govern data residency, governance controls, ministry-level reporting, and other enterprise features. In the event of conflict between these Terms and a Deployment Agreement, the Deployment Agreement prevails with respect to the institutional or ministry deployment.
9.1 Platform Status — Not a Regulated Educational Institution
Lony is a technology platform and is not itself a registered, accredited, or regulated educational institution, school, university, college, or training provider in any jurisdiction. Lony does not hold any educational accreditation, government registration, or regulatory licence as an educational institution. Credentials, Proofs of Learning (PoL), and Proofs of Knowledge (PoK) issued through the Platform are issued by Lony or, where applicable, by the institution or ministry operating a deployment. Lony makes no representation that any credential issued through the Platform carries the same legal standing, recognition, or regulatory status as a credential issued by a registered educational institution or a government-regulated authority. Institutions and ministries that deploy the Platform are solely responsible for determining whether and how credentials issued through their deployment comply with applicable accreditation requirements, national qualification frameworks, or professional licensing standards in their jurisdiction.
10. Privacy and Data
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, processing, and use of your data as described in the Privacy Policy. Key data practices include:
- We collect account data, learning activity data, credential records, and technical data;
- Blockchain-anchored credential records are permanent and cannot be deleted;
- We do not sell your personal data to third parties; and
- You may exercise your privacy rights by contacting [email protected].
11. Disclaimers and Limitation of Liability
11.1 No Warranty
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LONY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
11.2 No Educational Outcome Guarantee
Lony does not guarantee any specific educational, professional, or personal outcome arising from use of the Platform. Without limiting the foregoing, Lony makes no representation or warranty that:
- any course or learning programme will result in completion, certification, or mastery of any subject;
- credentials issued through the Platform will be recognized, accepted, or valued by any employer, institution, regulatory body, or government authority;
- completion of any programme will result in employment, promotion, salary increase, or any other professional outcome;
- any credential issued on the Platform is equivalent to, or recognized as equivalent to, any academic degree, professional qualification, or regulated credential; or
- learning content meets the requirements of any particular curriculum, accreditation standard, or national educational framework.
These disclaimers apply equally to institutional and ministry deployments, except where expressly agreed otherwise in a Deployment Agreement.
11.3 Platform Availability Disclaimer
Lony does not guarantee uninterrupted, continuous, or error-free access to the Platform, including in institutional or national-scale deployments. Availability of the Platform may be affected by:
- scheduled or emergency maintenance;
- failures of third-party infrastructure providers, cloud services, or blockchain networks;
- internet outages, network congestion, or force majeure events; or
- actions of governmental or regulatory authorities.
Lony will use commercially reasonable efforts to maintain Platform availability and to notify institutional customers of planned downtime in advance. Specific uptime commitments and service level targets, if any, are governed exclusively by applicable Deployment Agreements.
11.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LONY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LONY’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO LONY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) CAD $100.
12. Indemnification
You agree to indemnify, defend, and hold harmless Lony and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) your content; or (d) your violation of any third-party rights.
13. Termination
13.1 By You
You may terminate your account at any time by contacting [email protected] or using the account deletion feature in Platform settings. Termination does not affect blockchain-anchored credential records, which are permanent by design.
13.2 By Lony
Lony may suspend or terminate your account for violation of these Terms, fraudulent activity, or conduct harmful to the Platform or its users. For terminations without cause, Lony will provide at least 30 days’ written notice. Lony may terminate immediately and without notice where continued access poses a security risk or where required by law.
13.3 Effect of Termination
Upon termination, your right to use the Platform ceases immediately. Data retention following account closure is governed by our Privacy Policy. Provisions of these Terms that by their nature should survive termination shall continue to apply, including Sections 5, 7, 10, 11, 12, 14, and 16.
14. Force Majeure
Lony shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, strikes, governmental actions, internet or infrastructure outages, or failures of third-party service providers. In such events, Lony will use commercially reasonable efforts to resume normal operations as soon as practicable and will notify affected users of significant disruptions.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or your use of the Platform shall first be subject to good-faith negotiation for a period of 30 days from written notice of the dispute. If unresolved, disputes shall be submitted to binding arbitration seated in Toronto, Ontario, administered by the ADR Institute of Canada under its National Arbitration Rules, with proceedings conducted in English. The arbitral award shall be final and binding on both parties.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from a court of competent jurisdiction in Ontario to prevent irreparable harm pending resolution of a dispute. Where mandatory consumer protection laws in your jurisdiction provide for local dispute resolution, those rights are not affected by this clause. For users in the European Economic Area or United Kingdom, nothing in this section limits your right to bring claims before your local courts or applicable regulatory authority under mandatory provisions of local law.
16. Changes to These Terms
Lony may update these Terms from time to time to reflect changes in our practices, legal requirements, or Platform features. We will notify you of material changes via email or in-Platform notification at least 30 days before the change takes effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must cease using the Platform and may close your account.
The effective date displayed at the top of this document reflects the date of the most recent revision. Prior versions of these Terms are available upon request by contacting [email protected].
17. Miscellaneous
- Entire Agreement: These Terms, together with the Privacy Policy and any applicable Deployment Agreement, constitute the entire agreement between you and Lony with respect to the Platform and supersede all prior agreements and understandings.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.
- Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of Lony’s rights to enforce that provision in the future.
- Assignment: You may not assign your rights or obligations under these Terms without Lony’s prior written consent. Lony may assign its rights and obligations freely, including in connection with a merger, acquisition, or sale of assets, with notice to you.
- No Agency: Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and Lony.
- Notices: Notices to Lony must be sent to [email protected]. Lony may provide notices to you at the email address associated with your account or via in-Platform notification.
- Language: These Terms are drafted in English. In the event of any translation, the English version shall prevail.
- Developer and Enterprise Integrations: Lony may make available APIs, SDKs, webhooks, or other integration frameworks to enable third-party developers, institutions, or enterprise partners to connect with the Platform. Access to and use of such integration tools is governed by a separate Developer Agreement or Enterprise Integration Agreement, as applicable, which supplements and is subject to these Terms. Nothing in these Terms grants any right to access Platform APIs or integration endpoints absent such a separate agreement.
